Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you ("you", "Customer") and ArcFusion Technologies Corp. ("we", "us", the "Company"), the operator of the Enterprise Skills service at enterpriseskills.ai (the "Service"). By creating an account, activating a license, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. The Service

Enterprise Skills is a subscription service that provides curated skill content for AI coding agents (delivered as markdown skill files), ongoing updates to that content, and license tooling (a command-line tool) that installs, updates, and validates the content on your machine. Paid skill content is downloaded to your machine through an authenticated API after you activate a license. A Free tier (currently 8 skills) is available without payment so you can evaluate the Service before purchasing.

3. Accounts and Licenses

Subscriptions are sold as per-seat, non-transferable licenses. One seat permits one named individual to use the paid content and tooling. Current plans: Free (evaluation, 8 skills), Pro (single seat), Team (per-seat pricing with a minimum of 5 seats), and Enterprise (custom, sales-led agreement). Seat counts and pricing are described on the pricing page at the time of purchase.

License keys are confidential. You must not share, publish, or otherwise disclose a license key to anyone outside the licensed seat count. You are responsible for activity that occurs under your account and license keys. Notify us promptly if you believe a key has been compromised and we will rotate it.

4. Intellectual Property and License Restrictions

All skill content, documentation, and tooling provided through the Service are copyrighted works owned by ArcFusion Technologies Corp. or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the content for your own (or your organization's) internal software development, within your licensed seat count, for the duration of your subscription. The license is a right to use, not a transfer of ownership.

You must not, and must not permit anyone else to:

  • redistribute, republish, or publicly post the skill content, in whole or in part;
  • resell, sublicense, rent, or lease the content or access to it;
  • share the content or license keys with people outside your licensed seat count;
  • use the content to build, train, or seed a competing skill library, marketplace, or any derivative product offered to third parties;
  • remove or alter copyright or license notices.

Violation of this Section 4 terminates your license immediately and without refund, in addition to any other remedies available to us.

5. Billing, Renewal, and Cancellation

Paid subscriptions renew automatically at the end of each billing period (monthly or annual, as selected at purchase) until cancelled. Payments are processed by Stripe. We may change prices with advance notice; price changes take effect at your next renewal, and you may cancel before the change applies.

You can cancel at any time through the billing portal at /account. Cancellation takes effect at the end of the current paid period; you retain access until then.

6. Refunds

All fees are non-refundable, except where a refund is required by applicable law. Nothing in these Terms limits any non-waivable statutory rights you have as a consumer in your jurisdiction. The Free tier exists so you can evaluate the Service before paying. See the Refund Policy for details.

7. EU/EEA Consumers: Digital Content and Right of Withdrawal

If you are a consumer in the European Union or European Economic Area: by completing a purchase, you expressly request and consent to the immediate delivery of the digital content (skill content download and license activation) before the end of the 14-day withdrawal period, and you acknowledge that you thereby lose your statutory right of withdrawal once delivery has begun, in accordance with Article 16(m) of Directive 2011/83/EU as implemented in your country.

8. License Enforcement and Tooling Behavior

The license tooling validates your license against our servers periodically — roughly once per day when your machine is online. If your license is revoked, expired, or cannot be validated for an extended period (14 or more days without a successful validation, for example while offline), skill files that were installed by the tooling may be disabled or removed by the tooling on your machine. They are restored automatically the next time the license validates successfully.

The tooling only ever disables or removes skill files that it installed. It never deletes files you created — your code, configuration, and any other customer-created files are not touched.

9. Telemetry

The tooling collects usage data as described in the Privacy Policy. You can opt out of usage telemetry at any time by setting the environment variable ENTERPRISE_SKILLS_TELEMETRY=off. License validation traffic is required for the Service to function and is not affected by this opt-out.

10. Warranty Disclaimer

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE CONTENT WILL PRODUCE ANY PARTICULAR RESULT WHEN USED WITH AI CODING AGENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS CAPPED AT THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW, INCLUDING FOR LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE CONSUMER PROTECTION LAW.

12. Indemnification

You will indemnify and hold harmless the Company from claims, damages, and reasonable costs (including legal fees) arising out of your misuse of the Service or content, your violation of these Terms (including the license restrictions in Section 4), or your violation of applicable law.

13. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms (including non-payment or violation of Section 4). Upon termination, your license to the paid content ends and the tooling will disable or remove the skill files it installed, as described in Section 8. Sections that by their nature should survive (including Sections 4, 10, 11, 12, and 15) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. For material changes we will give notice (for example by email to your account address or a notice on the site) before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws rules, and subject to any mandatory consumer protections of the country where you reside. Except where prohibited by applicable consumer protection law, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Bernardino County, California, and both parties consent to personal jurisdiction and venue there.
